Bond market can give you fixed income which has much lesser risk as compared to share market. You can invest in corporate bonds \u0026 debentures, government bonds and Tax Saving Bonds. There are various types of bonds convertible \u0026 non convertible debentures, zero coupon bonds, callable bonds, secured \u0026 unsecured debentures, redeemable a\u0026 irredeemable bonds etc.

If there is a requirement of funds in any company then there are two options. First one is equity financing and the other one is debt financing. Equity financing is a risk capital in which company dilute its shareholding. On the other hand, if the company doesn’t want to dilute its shareholding then company raises debt financing. So in this video, we will understand the differences between bonds and debentures on the basis of security, convertibility, risk etc. A bond is a financial instrument which highlights the debt taken of the issuing body towards the holders. A debenture is an instrument used for raising long term finances.

Debenture:
A debenture is a loan issued at a fixed interest depending upon the reputation of the company.
A debenture is also type of bond or other debt instrument which is usually not backed by any collateral and usually has a term greater than 10 years.
Features of debentures:
A debenture is a loan document that acknowledges debt.
The debentures are the part of the borrowed fund capital.
It is in the form of certificate issued under the seal of the company called as debenture deed.
The interest is payable irrespective of the profit level, which means that even when the company is in loss, it has to pay the interest.
Debentures can be secured against the assets of the company or may be unsecured.
Debentures are generally freely transferable by the debenture holder.
Debenture holder does not have right to vote in the company’s general meetings of shareholders, but they may have separate meetings to vote.
The debenture holders are eligible to get a fixed rate of interest.
In the event of liquefying the company, debenture holder get preference in terms of repaying the borrowed amount
Types of Debentures:
Base on the security debentures are classified as –
1. Secured debentures
2. Unsecured debentures
3. Convertible debentures
4. Non – convertible debentures
5. Redeemable debentures
6. Irredeemable debentures
7. Registered debentures
8. Bearer debenture
9. Specific coupon rate debentures
10. Zero coupon rate debentures
